There's two scenarios here for when the exclusivity period ends around the end of May, and prior to the deal being made binding end of June:
A. A higher offer comes. Hooray for shareholders
B. A higher offer doesn't come. Shareholders vote yes
There's no argument.
IMO, B is likely.
