    Sorry rod178, you've got it wrong there buddy:

    "Additionally, the Directors would be indemnified against Directors Liability. Simply put, you would have to PROVE crime had been committed to sue a Director, as a Director cannot be indemnified against committing a crime. Good luck on that!!"

    Director's liability insurance only covers director's liabilities arising from negligence. Where negligence is shown, then the plaintiff is compensated by the insuring party (ie. the insurer that signed the liability insurance contract), provided the director has signed an insurance contract, otherwise the loss owing to the act of negligence is borne by the director. Where a willful act is shown, then the Director is solely responsible to compensate the plaintiff for losses.
