The action would be against the directors, not the company, so the cost of defending and payment of penalties or damages comes out of the directors' personal assets. The company, and hence your investment, would not be affected. Except perhaps by having directors who are a bit distracted by legal action. Generally if legal action of this nature goes to a hearing the affected directors would at least step aside until the matter was resolved.
