David - they do not have to give ANY capital return, as far as I know. Like Stevenk said - they can just let the company remain registered but unlisted, and do whatever they like. They do not have to obey any ASX rules. But they do have to obey ASIC rules and corporate law (although there's no guarantee that they will).
However, as far as I know, this doesn't include any obligation to return any capital to preexisting shareholders.
As I said above - I'm no expert, but that's how I understand it. Stevenk knows far more than I do - perhaps he can correct me if I'm wrong? I'd be happy to be corrected - we all learn something that way... :)
