I’m pretty certain that Bellamy’s would have made Mengniu aware of this prior to preparing the scheme agreement as outlined in the opening sentence of that clause stating “other than as disclosed to Mengniu prior to the date of this deed”.
However, we know what BAL’s track record is like when tasked of keeping all parties confirmed of necessary details, communication isn’t one of their strong points.
