A good start would be to stop Officers of the Company, who have awarded themselves plenty of bonus shares, having a vote at the AGM.
The secret to "keeping your job" even though you do not perform is to award you and your friends' so many shares that the owners of the company don't have enough votes to "overthrow" the non-performers.
Even getting 25% of the voters to vote against the remuneration report for two years running will force the board to stand down and the Chairman to resign, but if they carry enough votes they will just vote themselves back onto the board.
