Another take on it...possibly to be closed down again..!!?

As part of the deal STX grant TPD a "Royalty" on Walyering for $6m and transfer that royalty + Mongolian assets to new co.

STX could adjust the ratio slightly to keep the price the same...? TPD gets an effective CR without doing a CR (simpler and cheaper, with no tax due to losses) and gives them funding to advance Mongolia to where they want it. STX could "lend" it to new co if Walyering is a bit away and get paid back with a single month from cash flow they would otherwise not have access to.
