for the majority of the performance shares to convert the SP should be $1+, omni should be making 100M rev, SC should be making 35M rev .... EBITDA of 12+ M
if the management could achieve all these, then I think they deserve these shares. The dilution will be 33% but the SP would have grown by 500% so Win-Win.
