Yes with regard to his income, it seems to be out of place with what is the norm for a director but pretty sure a lot of companies do exactly the same with MD's the base wage would be around the mark, and I do agree maybe at this point those shares they are asking for should be tied to performance incentives that way shareholders would-be more at ease that's only imo, shareholders have the chance to vote those down at the AGM.
