Assuming when you say "retail" you mean shareholders who arent institutions or sophisticated investors.
I guess the answer would be fund raising costs. Sophisticated and insitutions invest a lot more than "retail" so you can raise the same amount but minimise on the costs of printing documents, processing documents etc.
