I am in the process of writing a lengthy post, but it is taking me a great deal of time and cross referencing with CTP documents so that it is understandable.
Bear with me, I can assure you that a solid plan is being worked on behind the scenes emerging and has good prospects of blocking MacBank.
What will be critical to achieving that will be the number of actual shareholders who vote at the meeting, the importance of the head count cannot be underestimated. IT IS CRITICAL.
I am in the process of speaking to rellies and friends and asking them to buy a minimum $500 worth of CTP shares.
The head count on a special resolution is the critical factor !!!!!!!!!!!!!!!! get past 50 % voting against the deal and the Macbank is out and the shareholders still retain the company .
NOTE, you cannot transfer part of your existing shareholding to 10 rellies, thereby gaining 10 heads in the special resolution. See page 31 item 3.6 (This not legal advice I am simply drawing your attention to a part of the scheme of arrangement)
Scheme voted down
If the Scheme is not approved by Central Shareholders at the Scheme Meeting
by reason only of the non-satisfaction of the Headcount Test and Central or
BidCo consider, acting reasonably, that Share Splitting or some abusive or
improper conduct may have caused or contributed to the Headcount Test not
having been satisfied then Central must:
(a) apply for an order of the Court contemplated by section 411(4)(a)(ii)(A) of
the Corporations Act to disregard the Headcount Test and seek Court
approval of the Scheme under section 411(4)(b) of the Corporations Act,
notwithstanding that the Headcount Test has not been satisfied; and
(b) make such submissions to the Court and file such evidence as counsel
engaged by Central to represent it in Court proceedings related to the
Scheme, in consultation with BidCo, considers is reasonably required to
seek to persuade the Court to exercise its discretion under section
411(4)(a)(ii)(A) of the Corporations Act by making an order to disregard
the Headcount Test.
