Key Scheme Dates and Considerations

Below are some legally binding key dates for the remaining "off-market" component of the scheme.

1		3 September 2025	Offer open
2		18 September 2025	Final date for provision of the new independent expert report (to be included with the Target’s Statement, which must be issued no more than 15 days after the Bidder’s Statement)
3		3 November 2025 (7pm)	Offer close (unless extended or withdrawn)
4		3 March 2026	Expiration of four month “best and final offer” restricted period
5		3 November, 2026	Earliest date for Special Resolution requiring 75% shareholder approval to privatise unless shareholders number less than 150 owning more than $500 of shares each.

Things to look out for;

- Will AGI's directors be recommending the offer in the Target Statement if the on-market share price exceeds the offer price?

- Will the IER continue to conclude the offer is "Fair and Reasonable"?

- Will there be unfavourable or favourable Forward Guidance included in the revised IER?

- Will the independent report by McGrath Nicol raise important issues with regard to the "Fair and Reasonable" conclusion of the Lonergan Edwards Independent Expert Report?

Things to Remember;

- You're under no obligation whatsoever to sell your shares to Novomatic.

- You don't need to do anything with the bid documentation (electronic or paper) to hold onto your shares.

- Novomatic cannot compulsorily acquire your shares without 90% shareholder approval, Which Novomatic don't have the numbers to achieve.

- Novomatic cannot privatise the company without at least 75% shareholder approval or less than 150 shareholders owning more than $500 of shares each. Neither looks likely for the foreseeable future.

- Novomatic cannot bring on the 75% vote to privatise within twelve months from the 3rd November, 2025 unless the shareholder numbers drop to less than 150 as described above.

- Novomatic cannot offer more than $1.00 per share under any circumstances until 3rd March, 2026.Any other person can however purchase or sell AGI shares on market at whatever price they choose to pay or receive. (Voluntary Disclosure - I am presently a buyer)

- Novomatic can launch a new scheme with a higher offer price and potentially no "best and final offer" restriction from the 4th March, 2026.

- If you're thinking of imminently selling, check the live traded price of the shares on the stock market (on-market price) before accepting the offer
