you are correct that GNSPA distributions can be halted by the the Directors. It would invoke a dividend stopper but I am not expecting GNS to have the means or desire to pay dividends any time in the foreseeable future (and they could just make a catch up payment).
I don't know the specifics but a share placemeent increases the maximum conversion ratio that applies to GNSPA (the announcement I referred to was the last time this happened).
