Under the agreement with pacmag, Peninsula has agreed to purchase all of the issued share capital of PM prospecting pty ltd('Acquisition"), a wholly owned subsidiary of pacmag. PM prospecting holds the entire issued share capital of pm energy pty ltd which in turn holds the entire issued ordinary capital of strata energy inc( a delaware company incorporated in the USA)(together the "PM Group").
