A very rough rule of thumb for growth stocks is that a stock is fairly priced if its PE is equal to the percentage future earnings growth rate. This formula doesn't work for zero growth.
Takeover premiums are hard to relate to either of those; the main determinants of takeover premium are (a) whether the pre-offer pricing reflected actual prospects and (b) whatever the offeror can get away with.
