With great respect I think you are misinterpreting what I said.

I certainly did not say or imply the JH "You have also now basically said that he's the only option we have as no others are interested or available"

I suggest you read my comments again.

Also I draw to your attention s.201H (3) which requires that.

Public company—confirmation by next AGM

(3) If a person is appointed by the other directors as a director of a public company, the company must confirm the appointment by resolution at the company's next AGM. If the appointment is not confirmed, the person ceases to be a director of the company at the end of the AGM.

So as you can see my comment was directed at the statutory requirement of s.201H(3)

As for this comment "And if SH want JH off the Board they simply do not vote for him in approx 6 months time,  very simple."

It is NOT very simple.  I have to say that is a crazy suggestion!

So I will ignore the above comment of you which would apply in my humble opinion the board resigns and a new board is appointed. Now I agree that is open to wide interpretation.

So please feel free to seek your own legal advice, I am not able to assit you with clarifying your misunderstanding of my comments
