It is my impression that your arithmetic is wrong (a common mistake) because the convertible notes do not belong to the SAME CLASS as ordinary shares.
They form two distinct classes, therefore you cannot mix them.
FML has to acquire 90% of the convertible notes and 90% of the ordinary shares excluding the notes.
Please be referred to my previous post. However because I am not an expert let's hear from the others.
