100 shareholders or a large institutional shareholder(s) holding 5% or more of shares on issue can request ( in writing & signed) that the company hold an EGM to consider items that the shareholder(s) put on a notice paper.
This is an excellent way to keep the Board and management accountable.
Also if a significant number of small holders attend the meeting and ask for items to be determined by poll (show of hands) and not by proxy (no of shares) then the deal may be defeated.
In all likelihood the Deputy Chairman would not like the deal decided by poll and would refuse to accept such a motion from the floor of the meeting. The Chairman would not be able to conduct the meeting due to his conflict of interest nor would he be able to vote the shares that he controls.
The media would be most interested and we should ensure that they are invited along to record events.
