It's quite simple slogger. Imo They are at a stage of their business cycle where they just want to focus on their high returning Martech side of the business. It looks like anything not showing high revenue returns for the services they offer is in their view is not sustainable.
Softer economic conditions in the UK causing some re occurring contracts to be paused along with slow take up of managed service prescriptions has probably played a big part in Xpons desicion to divest.
So without waiting for the UK conditions to turn around and to avoid sacking everyone and folding up the AppMod business (which would have cost a lot to set up to begin with) they instead have looked to divest it. Fair enough.

But Imo PIL has acquired this for a totally different reason. They are two totally different companies. PIL obviously have recognised that they needed to add highly skilled personal in the AI and CX field (which the UK Xpon team already is) to the their business so as they could move forward quickly in this fast growing AI space.
This transaction was a perfect fit for their business model moving forward. Saving lots of time and upfront money (which they don't want to use up) that they would have had to spend straight away in getting a team like this assembled.
So for me this transaction makes total sense for both companies. Xpon looking after employees and PIL fastracking the AI business for very little outlay.
