my take is the german co. said we want x shares at price y, non negotiable
BOD came to the party, not entirely willingly ( options converted to regain their shareholding)
agree with Blister - question is why they did that to get the germans on board, they must carry some serious clout
clearly a strategic move........
all will be revealed in due course, fun speculating in the interim
