Issue of Equity

Red Rock Resources plc ("Red Rock" or the "Company") the mineral exploration and
development company focused on advancing iron ore, uranium and manganese
projects in Australia and East Africa, has issued 31,000,000 new ordinary shares
of 0.1p each in the capital of the Company (the "Placing" and the "Placing
Shares") at 1.5p per Placing Share, conditional on the Placing Shares being
admitted to trading on AIM.

City Equities Limited has agreed to subscribe for 12,000,000 Placing Shares at
1.5p per Placing Share. This holding represents approximately 3.9% of the issued
share capital of the Company as enlarged by the Placing.

Wills and Co Stockbrokers have agreed to subscribe for 10,000,000 Placing Shares
at 1.5p per Placing Share. This holding represents approximately 3.3% of the
issued share capital of the Company as enlarged by the Placing.

Regency Mines plc ("Regency") has as agreed to subscribe for 8,100,000 Placing
Shares at 1.5p per Placing Share. Following the placing Regency will hold
115,350,000 ordinary shares in the Company, which is approximately 37.8% of the
issued share capital as enlarged by the Placing.

John Watkins, a director of the Company, has agreed to subscribe for 250,000
Placing Shares at 1.5p per Placing Share. Following the placing he will be
interested in 122,100,000 ordinary shares in the Company, which is approximately
40.0% of the issued share capital as enlarged by the Placing. These interests
are held as to 115,300,000 shares through Regency, as to 6,250,000 shares
through Starvest plc, and 500,000 shares are held personally.

Following the issue of the Placing Shares the Company's total issued share
capital will be 305,480,832 ordinary shares of 0.1p each. Application has been
made to the London Stock Exchange for the Placing Shares to be admitted to
trading on AIM. Dealings are expected to commence at 8.00 a.m. on 7 May 2008.
