Overall, the stock purchase plan raised $13.5M, a $1.5M shortfall on the $15M originally sought. Not too bad an effort, but why the shortfall for an otherwise heavily discounted issue?
As for the number of new shares on issue, the following calculations should now apply:
SHARES:
1)
Previously issued = 881M;
2)
issued under Share Plan = 224M;
3)
issued to NOR, etc (ie: HR partners, investor relations, financial advice, securities advice - does this mean Findlay's? - etc) = 35M (for $nil recognised consideration, but for $3.2M at Friday's closing price of 9.2c - well worth it to some);
4)
total issued shares (to 14/11) = 1.140bn.
OPTIONS:
1)
previously issued (to 13/11) = 61.65M;
2)
approved at AGM (14/11) = 90M;
3)
total = 152M.
CONVERTIBLE NOTE:
1)
previously issued = 70M;
2)
total = 70M
OVERALL, FULLY DILUTED:
1)
total = 1.362bn shares.
At the AGM, the only motion which was apparently challenged was the issue of Options, where 152M voted in favour, 9M against, and 23M where proxies at discretion.
