CYL did not purchase SGI, they acquired it or 'merged' with it.
You're correct that, in the case of Henty, the company was purchased, with some of the purchase price being held in escrow pending the result of the unfortunate Henty fatality.
But, again, SGI was acquired. There is no escrow, as there is no party left to return the escrow to. Similarly, there is no party, other than CYL, to bear whatever liability comes out of this incident. Fortunately, no one was killed.
