ASX Corporate Governance guidelines SPECIFICALLY define substantial shareholders as NOT independent! (That doesn't mean they shouldn't be directors, just that they're not counted as independent. As Gerry Harvey says, the shareholders of Harvey Norman probably don't wan't him to stand down so HN can have an 'independent, non-executive' Chairman...)
