The bulk of wayword's comments have been about the mechanism of paying directors, and whether there should be some kind of hurdle. My points have mostly been that for the NEDS (2 of the 3 resolutions in question) his suggested mechanism would break ASX rules. Nothing more.
Your post raises alot of different issues to wayword's, and I'm inclined to agree with at least some of them, but, in all honesty I've had enough of hot copper for the day so I'll leave it at that.
