If you have a major proposal like this, you do not put it up unless you are *guaranteed* it is going to succeed. Otherwise you look silly and your credibility is in tatters. To say nothing of the company having spent hundreds of millions of dollars for nothing, and potential other damage to the company.
The directors clearly did not do this due diligence. They needed to ensure that they had more than 75% support.
They have paid the price now, and have probably killed any chance of them ever being invited onto the board of any other major company. Just desserts.
