Director Responsibilities

Just because there has been a lit said here:
The main objective of any director is to keep the organisation moving towards reaching its goals and visions.
One way a Director can be deemed to breach their duties is by entering into a contract to take advantage of a business opportunity that personally benefits him or her.
Some posters seem to indicate that this is exactly what they feel is happening.
If it is happening, there is no need to wait for the AGM, take action now (there are multiple avenues available). But if you do, you need to be able to prove it.
Nothing will happen from a "this could happen " perspective. This means you have to know, and not just guess.
