“That, for the purposes of ASX Listing Rule 10.17, the maximum annual remuneration
payable to all Non-Executive Directors in aggregate, be increased by $200,000 from
$450,000 per annum to $650,000 per annum, such remuneration to be applied for
the benefit of the non-executive directors in such proportion and in such manner as the
Directors may determine. For the purposes of calculating such maximum annual
remuneration, any attributable value for share options, performance rights or shares
provided by the Company (such share options, performance rights or shares requiring
specific approval by members of the Company at a general meeting) shall be excluded.”
