[unsubstantiated speculation]
So, just drawing together the inferences from this thread and the TH, I will speculate that a major SH wants to make a low-ball offer for a full takeover or controlling stake, and could not gain Simon's support. If so, the new director will be friendly to that SH.
Anyone else want to pose an alternate theory until someone tells us the real story?
