Even through its not a legal requirement for a director to disclose the fact that legal action may be taken against a director buy another company, one would think directors should have a moral and ethical obligation to the company and its shareholders when certain actions have occured. It will be interesting to see yyr next report to its sherholders indicating the legal action it is taking against holders of its partly paid shares to recover aledged outstanding calls on those shares. Does a company that manages share holders investments need directors with high moral standards,values and ethics with no distractions that could impact on there performance.
