It could be the initial paperwork was written with invisible ink set to dissolve on New Year's Eve snuck in by PoC1 operatives in an effort to derail the good ship ADO. Without the knowledge of a 3rd parties involvement, both DiaS and ADO management leap to the conclusion they must have each sabotaged the deal ultimately resulting in the purchase falling through. PoC1 then holds ADO over a barrel for exclusivity and their evil plan to dominate the DX world is ultimately realised.
