If sufficient number of shareholders requisition a general meeting to vote on the removal of BTA director(s) (including the chairman) it can be easier to achieve than you think given the spread of shareholders in BTA is very thin. Merely refer to pages 38 and 39 of the 2008 Concise Annual Report lodged with the ASX on 25 August 2008 (granted this spread will have changed since then but I assume by not much).
As the question of dividend is decided and resolved by the Board of Directors there is nothing shareholders can do to change it once the Board has decided. Either they pay a dividend for the benefit of the shareholders or shareholders should vote to remove them from the Board.
