Trying to get in the mind of bain and co I can’t really see any reason for them to pull out. A small miss on guidance isn’t a disaster and fron the sounds of things they are thinking much bigger than sukin. My understanding is that it is the boards legal obligation to act in the best interest of share holders and in the absence of any higher offer the board have no choice but to recommend the offer if formalized. I doubt Bain will penny pinch and drop the offer price, I think they will just want to get this thing done.
