Leaving aside a competing bid, there are two more hurdles for the BOD get over;
1. Independent valuation report A fair and reasonable price for a takeover - as the valuations are based on current performance, and being very conservative ( ie.risk averse approach) its likely the range will be within the offer price albeit at the bottoms end.
2. SH VOTE in support of the TO with voting in favour exceeding 75%. IMHO and based HC thread this may be the catalyst that could prevent sxy's demise. Let's hope so.
