"This additional resolution will seek approval for an
allotment of securities in Mooter to be made to a specially established Trust for the benefit of the employees and advisors of Hot Shot Media Inc in the US. Hot Shot Media Pte Limited have advised that they believe a reward and incentive package is vital in the attraction and retention of world class IT and on-line media specialists and is of significant benefit to both parties. They have further advised that no Director (with the exception of Hot Shot Media Inc CEO, Danny Maco) will be permitted to participate in any of those securities. The structure of the trust, and the quantum of securities relating to this, have not been specifically determined at this time. Subject to legal opinion, the agreement as to the terms and escrow provisions and to the final determination of numbers, Mooter intends to agree to that request and will advise on the particulars in due course."
