Another thought. What happens if Downer can't get 90% shareholder acceptances and/or Spotless issues a profit downgrade.
Either scenario will allow management to save face and walk away from the deal. The rights issue would still follow through to completion, the SP gets back to previous levels or at least TERP and rights holders clean up as the shorters are forced to cover.
Surely the chance of either these scenarios occuring is more than the implied 100 to 1?
