This situation is similar to where a real estate agent who owns 5% of your house is engaged to sell it and you tell him/her that the commission will be fixed at a trivial amount and have no upside for a better sale price because they are a part owner.
So the real estate agent gets only the trivial amount in respect of his/her work on the other 95%.
