If the conditions weren't a part of the deal it would mean shareholders get 57c NO MATTER WHAT and the deal would be likely wrapped up quickly.
Notice FMS's takeover offer is for 30c no strings attached.
A conditional offer isn't favouable to the company being acquired, it's more in favour of the bidder and precisely why BMN told Hanlong to take a walk.
