It is so, because the regulators are protecting institutions rather than retail so they can make money and get an upper hand.
They say markets are efficient due to everyone being able to make decisions on information readily available to everyone. There is no way market efficiency and fairness can be argued by late short and late substantial holders notices.
The other issue is the 5% threshold, many large investors purposely leep themselves just under to eliminate the reporting.
