    Maybe Trafigura liked what DVP did to WL and giving PAN away for DVP to fix her up? A milestone type deal with $1 cash consideration and no equity dilution should be acceptable. They need a counter cyclical bargain basement deal to average out the overpriced ESS acquisition. Trafi have a better chance recovering their PAN investment by going with DVP.
