INTENTIONS IF SILVER LAKE DOES NOT ACQUIRE CONTROL OF EGANSTREET SHARES Unless otherwise indicated, Silver Lake’s intentions if it acquires less than 50.1% of EganStreet Shares would be to request representation on the board (commensurate with its shareholding in EganStreet) and gain a more detailed understanding of all the businesses, assets and operations of EganStreet to evaluate performance, profitability and prospects of EganStreet to the greatest extent possible based on the information then available to Silver Lake.The ability of Silver Lake to implement the intentions set out in Section 8.5 and this Section 8.6 will be subject to the legal obligations of EganStreet directors to have regard to the interests of EganStreet and all EganStreet Shareholders, and the requirements of the Corporations Act and the ASX Listing Rules relating to transactions between related parties and conflicts of interest. Silver Lake will only make a decision on the above mentioned courses of action following legal and financial advice in relation to those requirements.
