I agree with most of what you say but I don't think they (the board) need the action group to tell them what to do re marketing etc......you only have to read the Chairman's address 2005 to see that the board fully recognizes that and is moving that way with the person description for the new CEO.

However, having said that, if the Action group channels it's efforts into productive and constructive monitoring/feedback rather than lame duck expensive egm exercises, it may well contribute to an excellent outlook.
