viewph, on re-reading your first post on this thread, may I offer a suggestion? The simpler you keep it, the better. I doubt that setting KPIs is a general meeting function. I bet it is a board function. Likewise the appointment of a CEO. What the general meeting controls is the composition of the board. As a general meeting we can vote them off and vote new candidates on. If you try to do more than that, you will give our opposition ammunition with which to shoot you down. Of course you can put up multiple resolutions, but long experience suggests that if you add dud ones to the list, they will detract from the appeal of the good ones, and make their promoters look like cranks.
