I wish to share the following sentiments as a share-holder, and NOT as a legal advisor.
1. The current financial problem:
$8M CR - will be sorted - we need more time
2. The communication problems
I have diagnosed 2 inherent problems here:
2.1 Communication to the public: about the chip - review PH’duty statements and Key Performance Indicators
2.2 Communication to share holders: What’s the problem? Be transparent- tell us the truth - Resign and appoint a new director if you honestly think your position is being compromised - seek legal advice and ensure that any publication is professionally indemnified - Directors need to be courageous
3. The need to understand Director’s Duties and Responsibilities under the Act
3.1 For the Board benefits
3.2 For share holder’s benefits
Having said all that, I do not believing in “flipping the Board”, atm. The new guys will create new problems - Look at PH!
I am happy to be an in-house Special Counsel.
