If the overseas companies are beneficially owned by the australian entity, then I do not see how they do not have power over them.
That is like saying the board of Amazon Australia Pty Ltd can do whatever they want, without Amazon US having any control. Not so. They are only as powerful as the parent company board permits them to be. They have obligations to the parent (regardless of who is on that board).
