To quote from the VCR website:-

"The Board of Directors is responsible to Ventracor’s shareholders for the overall business performance. The Board approves the Company’s goals and objectives, strategic direction, and performance targets. The Board ensures that the appropriate systems, policies and procedures to manage risk are in place and are subject to verification, and monitors performance against agreed risk profile."

Amazing when you can read similar statements over and over and how few directors accept responsibility when they get it wrong. Perhaps the problem is that some Directors don't consider its the shareholders who own the company, statements such as above are just window dressing and that a directorship entitles them to membership of an elite club and shareholders a necessary irritation except when you need funding.

As for window dressing, wasn't Nosworthy a director of DJ's when it lost its way some years back? Great strategic planning!
