The Sundance Resources Limited (“
Sundance” or “
Company”) Annual General Meeting will be held at 9:00am (WST) on Monday, 30 November 2015 (“
AGM”) and the resolutions you’ll be voting on are critical and affect the future of your Company.
There are a number of critical resolutions, in particular Resolutions 4 to 9, which will affect the future of Sundance to be decided at this AGM and I am writing to you to encourage you to vote in favour on these resolutions.
The Board has formed the view that the transactions which are the subject of Resolutions 4 to 9, are in the best commercial interests of the Company and unanimously recommends that shareholders vote in favour of these resolutions. Resolutions 4 to 9 relate to the refinancing of the convertible notes with Noble, the Investor Consortium and Wafin, referred to as the "Refinancing Proposals".
The reasons why Shareholders should vote in favour of these resolutions are:
- The Company has convertible notes on issue totaling $44 million held by Noble and the Investor Consortium which are due and payable by Sundance on 1 December 2015.
- Among other things, these resolutions:
- effectively extend the maturity date of the convertible notes held by Noble and the Investor Consortium to 23 September 2017; and
- amend the terms of the convertible notes and options held by Wafin to align with the terms of the convertible notes and options held by Noble and the Investor Consortium.
- Resolutions 4 to 9 are all conditional upon the passing of each other, so that each will not have effect unless and until the others are passed.
- If all of Resolutions 4 to 9 are not approved by Shareholders, Sundance will be required to repay Noble and the Investor Consortium a total of $44 million on 1 December 2015 as a result of the redemption of each of their convertible notes. This would place Sundance in a precarious financial position and it would need to reassess its financial commitments. In such circumstances, Sundance would be required to seek alternative funding, which may be very difficult for Sundance to secure on acceptable terms or at all.
- A failure by Shareholders to approve the Resolutions 4 to 9 at the AGM may have serious financial consequences for the Company.
The Sundance Board strongly encourages you to cast your vote to reduce any risk that these resolutions are not passed.
In casting your vote, you should also be aware that two large proxy advisers, ISS and CGI Glass, have both recommended support as per the Sundance board recommendation to vote for Resolutions 1 to 11 and against Resolution 12.
The Board of Sundance urges all shareholders to vote:
- in favour of all of Resolutions 1 to 11; and
- against Resolution 12.
