Agree with everything you have said except one.
Its about time we started calling this action what it is.
Its not a merger, it is a TAKEOVER, & an opportunistic one at that.
Normally a takeover would contain a decent premium to the minor company. But in this case its a discounted, cheap, offer that they are trying to bully & bluff through.
