nasdaq listing

Please excuse my ignorance, however can someone please enlighten me as to the approximate likely details and implications of the delisting, and the "shareholders will obtain immediately tradeable shares in the newly listed NASDAQ company in lieu of thier shares" comment in the HY.
Will we be likely to hold the same number of shares in the new entity etc. etc.
Have held TZL for quite a while and have been accumulating again after selling at low 6's . . . .
Have been researching the beast constantly, and must say I like what I find . . . No surprises in the HY, however things certainly appear on track . . . Again, would appreciate comments on the delisting/listing.
