Seeya- I don't think the dividend makes any difference other than the asset/cash backing per share calc (ie a value consideration).
I think the way it works is that if you make a takeover offer, it can not be any lower than the highest price you have offered/bought from another shareholder in the preceding four months. So if they have recently bought at a high of 76c, any takeover offer made would need to be at least that price.
Alternatively they could wait four months before launching an offer and not be held to the 76c (ie can be at any price, are not held to a minimum).
This is just my understanding. Am happy to be corrected if anyone can clarify.
